ITEM 9. REGULATION FD DISCLOSURE

On July 3, 2003, the Company issued a press release (the “Press Release”) which announced that it has selected The Insurance Company of the State of Pennsylvania and National Union Fire Insurance Company of Pittsburgh, PA, both member companies of American International Group, Inc. to provide the Company’s workers’ compensation insurance. The Press Release is attached hereto as Exhibit 99.1.
